Please read these Terms of Use ("Terms") carefully before using sojafood.com (the "Site"), operated by Soja Foods LLC ("Soja Foods," "we," "us," "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
PLEASE READ SECTION 10 CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION FOR CERTAIN DISPUTES. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN THAT SECTION.
The Site is a marketing and informational resource only. We do not sell products directly through the Site. Nothing on the Site constitutes a binding offer to sell, a purchase contract, a product warranty, or a guarantee of product availability, pricing, or specifications. All product descriptions, formats, and availability are subject to change without notice and are confirmed only through a separate written agreement.
Eligibility. You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), to use the Site. By using the Site, you represent and warrant that you meet this requirement. The Site is intended for users in the United States; if you access it from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
Nutritional and ingredient information on the Site is provided for general informational purposes and reflects the general characteristics of the product category. It does not constitute medical advice, dietary guidance, or a substitute for professional nutritional counsel. Individuals with food allergies, intolerances, or medical dietary requirements should consult a qualified healthcare provider before making dietary decisions based on information found on this Site.
Any statements on the Site regarding protein describe the product category generally. Exact grams of protein per serving, serving sizes, and whether any particular SKU qualifies for a regulated nutrient content claim are determined by the final Nutrition Facts and product labeling for that SKU, which govern over Site copy.
Allergen notice: Soja Foods products are made from soybeans. Soy is a major food allergen recognized by the U.S. Food and Drug Administration. Product packaging will provide specific allergen and cross-contact information at point of sale and shall govern over any information on this Site. Individuals with soy allergies should not consume soy-based products.
All content on the Site — including but not limited to text, images, video, recipes, design, logos, and trade dress — is the property of Soja Foods LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and print a single copy of Site content for personal, non-commercial reference only. You may not reproduce, republish, distribute, transmit, display, modify, create derivative works from, or commercially exploit any Site content without our prior written permission. Any unauthorized use may violate applicable law and will terminate the limited license granted here.
You agree not to use the Site to: (i) violate any applicable law or regulation; (ii) transmit any harmful, offensive, or disruptive code or content; (iii) attempt to gain unauthorized access to any part of the Site or its underlying infrastructure; (iv) scrape, crawl, or harvest content or data from the Site by automated means without our prior written consent; (v) impersonate Soja Foods or any other person or entity; or (vi) interfere with or disrupt the integrity or performance of the Site.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any content on the Site.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOJA FOODS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE — WHETHER IN CONTRACT, TORT, OR OTHERWISE — SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Soja Foods LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
The Site may contain links to third-party websites for convenience. We do not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site. Accessing linked sites is at your own risk.
Google Ads and measurement tags. The Site loads the Google Ads tag (gtag.js) operated by Google LLC for the purposes of conversion measurement and remarketing. With your consent (or where consent is not legally required), Google may set cookies and similar identifiers on your device and receive information including your IP address, page URL, referrer, browser and device characteristics, and the Google Click Identifier (gclid) if you arrived from a Google ad. Google's collection and use of this data is governed by Google's own terms and the Google Privacy Policy, not by these Terms. Full details of what is collected, how to withdraw consent, and how the Global Privacy Control signal is honored are set out in our Privacy Policy. You can change your ad-cookie choice at any time using the cookie preferences link in the footer. We are not responsible for Google's independent processing of data once transmitted, nor for any third-party measurement, advertising, or analytics service that you may access by following an external link from the Site.
These Terms and any dispute arising out of or related to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Please read this Section carefully. It affects your legal rights.
(a) Agreement to arbitrate. Except for the carve-outs in Section 10(d) below, you and Soja Foods LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the relationship between you and Soja Foods (a "Dispute") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this Section.
(b) Arbitration procedure. The arbitration shall be conducted by a single neutral arbitrator. The seat of arbitration shall be New Orleans, Louisiana, although you may elect to participate by telephone, video, or written submissions, and in-person hearings (if any) shall be held in the federal judicial district where you reside or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator shall have authority to award the same individual remedies a court could award, but may not award relief beyond the individual claimant.
(c) Class, collective, and representative action waiver. YOU AND SOJA FOODS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding. If this waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall be severed from the arbitration and brought in the courts identified in Section 10(e); the remainder of this Section shall remain in full force.
(d) Carve-outs. Notwithstanding the agreement to arbitrate, either party may (i) bring an individual claim in small-claims court for any Dispute within that court's jurisdiction, so long as the action remains in that court and on an individual basis; (ii) seek injunctive or other equitable relief in court to protect its intellectual property rights or confidential information; and (iii) bring any claim that, by law, cannot be required to be arbitrated.
(e) Forum for non-arbitrable claims. For any Dispute that is not subject to arbitration under this Section, you and Soja Foods agree that the exclusive forum shall be the state or federal courts located in Orleans Parish, Louisiana, and each party irrevocably consents to the personal jurisdiction of those courts.
(f) Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SOJA FOODS EACH WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHT TO A JURY TRIAL FOR ANY DISPUTE NOT RESOLVED IN ARBITRATION.
(g) 30-day right to opt out. You may opt out of this arbitration agreement and class-action waiver by sending written notice to [email protected] with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. The notice must include your full name and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.
(h) Survival. This Section survives termination of these Terms.
We may update these Terms at any time. The effective date at the top of this page reflects the most recent revision. For material changes, we will take reasonable steps to provide notice. Continued use of the Site after any revision constitutes your acceptance of the updated Terms. If you do not agree to revised Terms, your sole remedy is to discontinue use of the Site.
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect. Severability of the class-action waiver in Section 10(c) is governed by the carve-out in that subsection.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Soja Foods to be effective.
The following sections survive any termination or expiration of these Terms or your access to the Site: 2 (Food, nutrition, and allergen information), 3 (Intellectual property), 5 (No warranties), 6 (Limitation of liability), 7 (Indemnification), 9 (Governing law), 10 (Arbitration; class action waiver; jury trial waiver), 12 (Severability), 13 (No waiver), 15 (Entire agreement), and this Section 14.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Soja Foods LLC with respect to your use of the Site and supersede all prior or contemporaneous communications, representations, or agreements — whether written or oral — regarding the same subject matter. No statement made by any Soja Foods representative outside these Terms (including by email) modifies these Terms unless documented in a separate signed written agreement.
